Devlin is the Founder and Managing Partner practicing in the areas of securities, tax, and corporate law with the firm of Dwyer Law Offices, LLC in Atlanta, Georgia. In his practice, Devlin provides counsel to entrepreneurs, business owners and fund sponsors and managers, including the following representation:
Structuring real estate and tax-motivated investment vehicles as well as private equity funds, hedge funds, commodity pools, and debt offerings, including master-feeder structures organized in the United States and in offshore jurisdictions;
Advising on entity formation, structure, and governance, including the drafting of shareholder and operating agreements, buy/sell agreements, restrictive covenants, and deferred compensation arrangements;
Registering fund managers as registered investment advisers (RIAs) with the Securities and Exchange Commission (SEC) and state regulatory bodies as well as commodity pool operators (CPOs) and commodity trading advisors (CTAs) with the National Futures Association (NFA);
Counselling, and negotiating on behalf of, clients with respect to corporate transactions, including asset and stock purchases and sales, mergers, joint ventures, private lending, and corporate restructurings;
Maintaining regulatory compliance with SEC, Commodity Futures Trading Commission (CFTC), and FATCA rules and regulations and federal and state laws; and
Drafting a wide range of contracts, including consulting and employment agreements, profits interest plans, management agreements, debt instruments, and security agreements and pledges.
Devlin is also a Founding Shareholder of Corvi Capital, LLC and a Registered Representative of Patrick Capital Markets, LLC. Corvi Capital brokers private placements, with unique expertise connecting syndicators of investment vehicles generating tax credits and deduction opportunities with high net worth individuals and corporations seeking to offset their federal and state tax liabilities, including LIHTC, alternative energy, and Historic tax credits. Securities offered through Patrick Capital Markets, LLC. Member FINRA/SIPC. Devlin also serves as CEO of Corvi Capital’s subsidiary, Corvi Capital Advisors, LLC, an investment adviser registered with the State of Georgia which provides turnkey investment advice to fund sponsors regarding their private placement investments. Devlin is also an Executive Director of Oculus Management, LLC, sponsor of private investment vehicles investing primarily in real property and opportunity zone investments.
Prior to founding Dwyer Law Offices, Devlin was a Founding Partner of Brodnan Dwyer LLC (2018-2019), was Senior Counsel with Kowan & Cordon, LLC, a boutique tax and private equity-focused law firm (2016-2018), an Associate with The Private Client Law Group (2014-2015), and Partner with Malik Dwyer, LLC (2009-2014).
Devlin earned his Juris Doctorate degree at the University of Texas School of Law (2009) where he also studied abroad at the Central European University (Budapest), was a member of The Review of Litigation law journal, and interned for the Honorable C. Ashley Royal, U.S. District Judge for the Middle District of Georgia. Devlin earned his Bachelor of Arts degree in Economics and European History at Vanderbilt University (2006) where he also studied abroad at the American University of Rome.
Devlin is an active member of the State Bar of Texas and the State Bar of Georgia. Devlin holds Series 22, Series 24, Series 63, Series 65, and Series 82 securities licenses.
